   Notification of change of auditor 
 
   The Board of Stagecoach Group plc announces its intention to recommend 
to shareholders the appointment of Ernst & Young LLP as the Group's 
external auditor for the financial year ending 30 April 2017. 
Shareholder approval of the appointment of Ernst & Young LLP will be 
sought at the 2016 AGM. 
 
   The proposal to change the Group's external auditor follows a 
recommendation by the Audit Committee to the Board based on a formal 
tender process overseen by the Audit Committee, as referred to in the 
2015 Annual Report & Financial Statements published on 24 June 2015. 
 
   PricewaterhouseCoopers LLP, the Group's current auditor, will undertake 
the external audit for the year ending 30 April 2016, having been 
reappointed at the 2015 AGM.
