("RCG" or the "Company" and together with its subsidiaries, the "Group")

FURTHER DELAY IN DISPATCH OF CIRCULAR IN RELATION TO

MAJOR TRANSACTION OF PROPOSED DISPOSAL OF PROPERTY

Reference is made to the announcement of RCG Holdings Limited (the "Company") dated 15 April 2014 in relation to the major transaction of the proposed disposal of property (the "Announcement") and to the announcement of the Company dated 12 May 2014 in respect of the delay in dispatch of circular (the "Delay Announcement"). Capitalised terms used herein shall have the same meanings as those defined in the Announcement and the Delay Announcement unless the context requires otherwise.

As disclosed in the Delay Announcement, a circular in respect of the Disposal (the "Circular") was expected to be dispatched to Shareholders on or before 30 June 2014.

As additional time is required for the Company to prepare and finalise the information to be included in the Circular, the Company expects that the dispatch date of the Circular will be further delayed to a date on or before 31 July 2014.
