Options Granted To and Exercised by Directors

PureCircle (LSE: PURE), the world's leading producer and marketer of high purity stevia ingredients, provides an update of new options granted to and exercised by certain Directors, as well as the transfer of 11,750 ordinary shares out from treasury on 14 January 2015 to satisfy the exercise of these options.

   1)     Options granted to certain employees and Executive Directors

On 14 January 2015, the Company granted a total of 709,894 options to employees and Executive Directors of PureCircle. These options may vest on 30 June 2017 at nil exercise price, subject to performance conditions.

   2)     Options granted to and exercised by certain Non-Executive Directors

(a) 9,990 options have been granted in lieu of fees for the period from 1 January 2015 to 30 June 2015. These options have an exercise price of GBP5.53 per share, calculated based on the 20-day volume weighted average price ("VWAP") to 31 December 2014 and shall vest on 1 July 2015; and

(b) 11,750 options previously issued in lieu of fees for the period from 1 July 2014 to 31 December 2014 were exercised on 14 January 2015 at the price of GBP6.04 per share (based on the 20-day VWAP to 30 June 2014).

Shares issued upon option conversion were taken from treasury shares. Following the said transfer, the total number of issued ordinary shares in the Company is 169,866,294 of which 117,114 are held as treasury shares. The number of voting rights in the Company is 169,749,180. This figure should be used by shareholders as the denominator in the calculation of their interest in the Company.

The shares to be released from treasury have already been admitted to trading on AIM and no further application is necessary.
