ACAL PLC ("ACAL") PROPOSED ACQUISITION OF A MAJORITY SHAREHOLDING IN
SERVICE SOURCE EUROPE LIMITED ("SSE") AND ESTABLISHMENT OF AN EMPLOYEE'S
SHARE SCHEME
POSTING OF SHAREHOLDER CIRCULAR
Acal announces that it has today posted to its shareholders a circular (the "Circular") describing proposals for (a) the acquisition of
a 75 per cent. interest in SSE (the "Acquisition") and (b) the establishment of an employees' share scheme for the management team that Acal
intends will manage its parts services division, as enlarged by the Acquisition (the "B Share Scheme").
The Circular contains a notice of a general meeting of the Company to be held at 11:00 am on Thursday, 8 January 2009 at 2 Chancellor
Court, Occam Road, Surrey Research Park, Guildford GU2 7AH (the "General Meeting"), at which Acal's shareholders will vote on the
Acquisition and the establishment of the B Share Scheme. Forms of Proxy for use at the General Meeting have also been sent to shareholders.
Copies of the Circular are available for inspection during normal business hours on any weekday (Saturdays, Sundays and public holidays
excepted) at the office of Lovells LLP, Atlantic House, Holborn Viaduct, London EC1A 2FG from the date of this document up to and including
the date of the General Meeting.
In addition, a copy of the Circular has been submitted to the UKLA and will shortly be available for inspection at the at the UKLA's
document viewing facility, which is situated at 25 The North Colonnade, Canary Wharf, London E14 5HS.
