Physicians Realty Trust Announces Upsizing and Pricing of a Public Offering of 18,500,000 Common Shares

Physicians Realty Trust (NYSE:DOC) (“the Company”), a
self-managed healthcare real estate company, announced today the
upsizing and pricing of a public offering of 18,500,000 common
shares of beneficial interest at a public offering price per share
of $15.75, for net proceeds of approximately $278.9 million after
deducting the underwriting discount and commissions and estimated
offering expenses payable by the Company. All of the common shares
are being offered by the Company and will trade on the NYSE under
the ticker symbol “DOC.”
The Company has granted the underwriters a 30-day option to
purchase up to an additional 2,775,000 common shares. The offering
is expected to close on January 25, 2016.
The Company will contribute the net proceeds of this offering to
its operating partnership in exchange for common units in its
operating partnership. The Company’s operating partnership intends
to use the net proceeds of the offering to repay a portion of its
borrowings under the Company’s unsecured credit facility and for
general corporate purposes, including working capital and
investment in real estate.
KeyBanc Capital Markets, BofA Merrill Lynch, and BMO Capital
Markets are serving as joint book-running managers for the
offering. Morgan Stanley, Raymond James, RBC Capital Markets and
Stifel are serving as passive bookrunners for this offering. Credit
Agricole CIB, Cowen & Company, Regions Securities LLC, JMP
Securities, and Wunderlich are serving as senior co-managers for
