Issue of equity

PROACTIS Holdings PLC ("PROACTIS", the "Group" or the "Company"), the specialist Spend Control software provider, today announces that 76,666 ordinary shares of 10p each in the share capital of the Company ("Ordinary Shares") have been issued and allotted pursuant to the exercise of share options by employees.

Application has been made for the 76,666 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence on 1 May 2015. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.

The total number of Ordinary Shares in issue following Admission will be 39,397,658. Accordingly, the figure of 39,397,658 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
