              Premier Energy and Water Trust PLC (the "Company")

                       Further issue of ordinary shares

The Company today announces that it has allotted and issued, conditional only
on admission, on 17 December 2014, by way of a tap issue in response to market
demand, 310,000 new ordinary shares of 1 pence each par value for cash, at a
price of 178.25 pence per share (the "New Shares"). The New Shares will rank
pari passu with the existing ordinary shares and dealings in the New Shares are
expected to commence on 23 December 2014. Application has been made for the New
Shares to be admitted to the premium listing segment of the Official List and
to trading on the Main Market of the London Stock Exchange.

The above shares were issued pursuant to a resolution approved at a General
Meeting of Premier Energy and Water Trust PLC held on 27 August 2014 which
permitted the allotment provided that (i) such issue is simultaneous with an
issue of new zero dividend preference shares by PEWT Securities PLC ("new ZDP
Shares") and (ii) the combined effect of the issue of Ordinary Shares at a
discount to the prevailing net asset value per Ordinary Share and the issue of
New ZDP Shares at a premium to net asset value per New ZDP Share is that the
net asset value per Ordinary Share is that the net asset value per Ordinary
Share is thereby increased.

Following the issue of the ordinary shares, the issued share capital will
consist of 17,378,480 ordinary shares.

The above figure of 17,378,480 may be used by shareholders as the denominator
by which they will determine if they are required to notify their interest in,
or change of their interest, in Premier Energy and Water Trust PLC under the
FCA's Disclosure and Transparency Rules.
