The Company was unable to file its Annual Report on Form 10-K for the year ended December 31, 2016 within the prescribed time period because it has not yet been able to complete the audit of its 2016 financial statements.  The Company intends to file its Annual Report on Form 10-K within 15 days of the due date .

The company estimates that it will incur a net loss of approximately $1.65 million during the year ended December 31, 2016, compared to a net loss of $8 million during the year ended December 31, 2015.  The decrease in loss is due primarily to an approximate $4.5 million decrease in non-cash stock based expense and a general decline in operating expenses, due primarily to the Company’s limited capital resources.
