The Company is unable to file its Annual Report on Form 10-K for its fiscal year ended August 31, 2015 by the prescribed date without unreasonable effort or expense because the Company was unable to compile certain information required in order to permit the Company to file a timely and accurate report on the Company’s financial condition. The Company believes that the Annual Report will be completed within the fifteen day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934.

It is anticipated that revenues for the year ended August 31, 2015 will have decreased by approximately $1.2 million over the prior fiscal year as a result of the Company’s recall of its Lobster Bisque soups on September 22, 2014 due to a labeling error regarding its ingredients (which never involved product safety) and the lack of capital to produce all varieties of soups for its franchisees which has now been corrected. In addition, it is anticipated that the net loss from operations for the year ended August 31, 2015 will have decreased by approximately $1.8 million over the prior fiscal year due to cost-cutting measures.
