CHICAGO, May 10, 2016 /PRNewswire/ -- Ryerson Holding Corporation (NYSE: RYI) announced today that its wholly owned subsidiary, Joseph T. Ryerson & Son, Inc. ("JT Ryerson"), is commencing a cash tender offer and consent solicitation (the "Offer") for any and all of the outstanding aggregate principal amount of its outstanding 9% Senior Secured Notes due 2017 (the "Notes"). The tender offer is scheduled to expire at 11:59 p.m., New York City time, on June 7, 2016, unless extended or earlier terminated (the "Expiration Time").

In connection with the offer to purchase, JT Ryerson is soliciting consents to certain proposed amendments to the indenture governing the Notes to eliminate substantially all of the restrictive covenants, certain events of default and related provisions. Holders may not tender their Notes without delivering consents or deliver consents without tendering their Notes.

Holders of the Notes that are validly tendered and not properly withdrawn prior to 5:00 p.m., New York City time on May 23, 2016, unless extended or earlier terminated (the "Consent Time"), and accepted for purchase, will receive the total consideration (as discussed below) of $1,022.50 per $1,000 principal amount of the Notes, together with accrued and unpaid interest up to, but not including, the settlement date. Holders of the Notes that are validly tendered and not properly withdrawn after the Consent Time but on or prior to the Expiration Time, and accepted for purchase, will receive the tender offer consideration (as discussed below) of $922.50 per $1,000 principal amount of the Notes, which is the total consideration less the consent payment (as discussed below), together with accrued and unpaid interest up to, but not including, the settlement date. Payment for Notes validly tendered and not properly withdrawn on or prior to the Consent Time and accepted for purchase may be made at the option of JT Ryerson promptly after the Consent Time. Payment for Notes validly tendered and not properly withdrawn after the Consent Time and on or prior to the Expiration Time and accepted for purchase will be made promptly after the Expiration Time. The expected early settlement date is May 24, 2016.
