Jardine Lloyd Thompson Group plc (the "Company")

DIRECTOR SHAREHOLDING

The Company notifies that, on 21 September 2015, Charles Rozes, a director of the Company, was granted a conditional share award over the number of Ordinary Shares of 5 pence each in the Company ("Shares") listed below under an arrangement to which Listing rule 9.4.2 applies, in respect of the buy-out of remuneration forfeited on leaving his previous employment. The number of shares subject to the conditional share award has been calculated using the average market prices over the three dealing days immediately prior to 1 September 2015, the date Charles joined the Company.

The conditional shares will vest in tranches as set out below:
