( 1)  1,846 of such shares constitute earned performance units. Earned performance units vest 20% per annum beginning on the first anniversary of the grant date. Of such performance units, (a) 215 shares vest on January 5, 2017, (b) 508 shares vest on January 7, 2017, (c) 507 shares vest on January 7, 2018 and (d) 308 shares vest on each of January 7, 2019 and 2020.
