( 1)  The number of shares beneficially owned by Mr. Long include 20,286 shares of common stock, 4,571.4835 unvested restricted stock units ("RSUs") and 14,920.6939 unvested market share units ("MSUs"). This amount also includes 783.8095 vested RSUs, 330.3996 vested MSUs, 85.3956 unvested RSUs and 66.0799 unvested MSUs, which are deferred under the EnerSys Voluntary Deferred Compensation Plan for Executives, as amended.
