-- Huntsman Corporation (NYSE: HUN) today announced its
intention, subject to market and other conditions, to privately
offer €300.0 million in aggregate principal amount of senior notes
due 2025 (the "Notes") through its wholly owned subsidiary,
Huntsman International LLC.
Huntsman intends to use the net proceeds from the proposed
offering to redeem a portion of its 8.625% Senior Subordinated
Notes due 2021 and to pay associated accrued interest.
The Notes will not initially be registered under the Securities
Act of 1933, as amended (the "Securities Act"), or under any state
securities law; and unless so registered, the Notes may not be
offered or sold in the United
States absent registration or an applicable exemption from,
or in a transaction not subject to, the registration requirements
of the Securities Act and applicable state securities laws. The
Notes are being offered only to qualified institutional buyers
under Rule 144A and outside the United
States in compliance with Regulation S under the Securities
Act.
