Following the announcement on 4th October 2005 that the offer by Close Brothers
Corporate Finance Limited on behalf of Tata Technologies, Inc. (an indirect
subsidiary of Tata Motors Limited), to acquire the whole of the issued and to be
issued share capital of the Company was unconditional in all respects, the
Company announces that Mr. Praveen Kadle and Mr. Patrick McGoldrick were
appointed as directors of the Company on 5th October 2005. Dr. Ross Bunce, Mr.
Tim Arthur, Mr. Warren Harris, Mr. Henry Hutchinson and Mr. Wolfgen Zofgen
resigned as directors on 5th October 2005. Mr. Warren Harris, Mr. Henry
Hutchinson and Mr. Wolfgen Zofgen, while resigning from the board, will continue
with the Company.
Mr. Praveen Purushottam Kadle is 48 years old and is currently a director of
Concorde Motors Limited, Sheba Properties Limited, Tata Cummins Limited, Tata
Holset Limited, Tata Motors Limited, Tata Services Limited, Tata Technologies
Limited and Telco Construction Equipment Co. Ltd. In the past five years, he has
also been (but is currently no longer) a director of, Concorde Motors (India)
Limited, HV Axles Limited, HV Transmissions Limited, TAL Manufacturing Solutions
Limited (formerly Telco Automation Limited), Tata Finance Limited, Tata Share
Registry Limited and Telco Dadajee Dhackjee Limited.
Mr. Patrick Raymon McGoldrick is 56 years old and is currently a director of
Tata Elxsi Limited, Tata Technologies Limited, Tata Technologies Pte Ltd,
Singapore, Tata Technologies Sdn Bhd, Malaysia, Tata Technologies, USA, Tata
Technology Investments Pte Ltd, Singapore, and Tata Watches & Jewellery
International (Asia Pacific) Pte Ltd, Singapore.
No further information is required to be disclosed in connection with the
appointment of Mr. Kadle or Mr. McGoldrick pursuant to Rule 17 of the
