(Updates with details of resolutions defeated at AGM)
LONDON (Thomson Financial) - Dawson International Plc. said resolutions
proposed on behalf of Leeds Group Plc. for the appointment of David John Bolton
and Jan G L Holmstrom to the board of directors were passed at the AGM held on
July 29.
On July 22, Dawson International had urged its shareholders to vote against
the resolutions proposed by Leeds Group, which owns about 28.8 percent of the
home furnishing fabric specialist.
The company said resolutions to authorise directors to allot relevant
securities pursuant to Section 80 of the Companies Act 1985, to empower the
directors to allot equity securities for cash pursuant to Section 95 of the Act,
and to approve the adoption of a share option scheme were defeated at the AGM.
