Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
3M Company has amended Article SECOND of its Certificate of Incorporation, in accordance with Section 133 of the General Corporation Law of the State of Delaware, to reflect the name of its new registered agent and the address of its registered office in the State of Delaware. The Amendment became effective upon the filing with the Secretary of State of Delaware, pursuant to Section 242 of the General Corporation Law of the State of Delaware, of a Certificate of Amendment on December 4, 2017. The restated Certificate of Incorporation incorporating such Amendment is attached hereto as Exhibit 3(i) and incorporated by reference herein.
