Item 7.01 Regulation FD Disclosure.
On August 17, 2017, Yangtze
River Development Limited (the “Company”) issued a press release announcing it has received approval for its common
stock to be traded on The Nasdaq Global Select Market effective August 18, 2017. A copy of the press release is furnished as Exhibit

Item 8.01 Other Events.
On August 16, 2017, the Company
received an approval letter from The Nasdaq Stock Market, Inc. approving the Company’s application to list its common stock
on The Nasdaq Global Select Market. Effective August 18, 2017, the Company’s common stock is expected to trade on
The Nasdaq Global Select Market under its current ticker symbol “YERR.”
The Company’s common
stock will continue to be traded on The Nasdaq Capital Market until the close of trading on August 17, 2017.
