Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 17, 2017, Edward J. Prajzner, the Executive Vice President of Corporate Development of CECO Environmental Corp., stepped down as
Executive Vice President of Corporate Development effective as of July 21, 2017.
The Company plans to enter into a Separation
Agreement with Mr. Prajzner pursuant to which Mr. Prajzner will be entitled to six months of his current annual salary and related benefits, and acceleration of the vesting of a portion of restricted stock units held by Mr. Prajzner.
