Item 8.01          Other Events.

On April 6, 2017, the Company issued a press release announcing that it had entered into a definitive purchase agreement with AAMP of America to acquire the inventory, inclusive of all intellectual property, including patents and trademarks of Rosen Electronics products. A copy of the release is furnished as Exhibit 99.1 attached hereto.
