Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 9, 2016, Mr. Eric J. Hinkefent announced his retirement as President of Chamberlin's Natural Foods, Inc. and of Health Food Associates, Inc. – subsidiaries of AMCON Distributing Company. Mr. Hinkefent will be available on a consulting basis to assist AMCON and its subsidiaries with the smooth transition of his responsibilities to others. Mr. Clifford Ginn has assumed the role of President and Chief Administrative Officer of Chamberlin's Natural Foods, Inc. and of Health Food Associates, Inc. – subsidiaries of AMCON Distributing Company.
