On May 24, 2016, Rambus Inc. (the “Company”) announced that Satish Rishi, the
Company’s Senior Vice President, Finance and Chief Financial Officer, intends to retire from the Company effective August 5, 2016. Mr. Rishi’s intended retirement is not related to any disagreement with the Company regarding any
financial or other matters. The Company has commenced its search for a new Chief Financial Officer. A copy of the press release announcing Mr. Rishi’s retirement is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
