Item 5.02(e). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 7, 2015, the Board of Directors of CECO Environmental Corp. (the “Company”) approved an increase of the maximum number of shares of the Company common stock reserved for stock grants and for purchase pursuant to the exercise of options granted under the Company’s Amended and Restated 2007 Equity Incentive Plan, as amended (the “Plan”), by 700,000 shares, from 2,600,000 shares to 3,300,000 shares, subject to approval by the Company’s stockholders at a special meeting to be held on September 2, 2015 (the “Special Meeting”) in connection with the pending mergers contemplated in the Agreement and Plan of Merger, dated as of May 3, 2015 (the “Merger Agreement”), by and among the PMFG, Inc., a Delaware corporation (“PMFG”), the Company, Top Gear Acquisition Inc., a Delaware corporation and a wholly owned subsidiary of the Company (“Merger Sub I”), and Top Gear Acquisition II LLC, a Delaware limited liability company and wholly owned subsidiary of the Company (“Merger Sub I”). The Merger Agreement provides for, among other things, (1) the merger of PMFG with and into Merger Sub I, with PMFG as the surviving entity (the “First Merger”), and (2) a subsequent merger whereby PMFG will merge with and into Merger Sub II, with Merger Sub II as the surviving entity (the “Second Merger” and together with the First Merger, the “Mergers”).

The Company and PMFG have mailed to their stockholders a joint proxy statement/prospectus, dated July 31, 2015 (the “Joint Proxy Statement/Prospectus”) for their respective special meetings in connection with the Mergers. After mailing the Joint Proxy Statement/Prospectus, which contains a proposal to be voted on by the Company’s stockholders to increase the maximum number of shares reserved under the Plan as described above (the “Proposal”), the Board of Directors of the Company amended the Plan to eliminate the Company’s power to reprice or exchange grants without stockholder approval. The amendment to the Plan (the “Amendment”) became effective immediately upon approval by the Board of Directors on August 20, 2015. A copy of the Amendment is attached as Exhibit 10.1 hereto and is incorporated herein by reference.

In connection with the Amendment, the Company and PMFG agreed to update the Joint Proxy Statement/Prospectus with the supplement (the “Supplement”) attached as Exhibit 99.1 hereto and incorporated herein by reference. The Supplement should be read in conjunction with the Joint Proxy Statement/Prospectus and the documents incorporated by reference therein.

AMENDMENT

TO THE CECO ENVIRONMENTAL CORP.

2007 EQUITY INCENTIVE PLAN, AS AMENDED

AUGUST 20, 2015

Pursuant to Section 17 of the CECO Environmental Corp. 2007 Equity Incentive Plan, as amended (the “Plan”), the Board of Directors (the “Board”) of CECO Environmental Corp. (the “Company”) hereby amends Section 17 of the Plan, effective immediately, by the deletion of the second sentence of the first paragraph of Section 17 and the addition of the following language in place thereof (capitalized terms used and not defined herein shall have the meanings ascribed to them in the Plan):

“Except as otherwise provided in Section 14, the Committee and the Company shall not, without obtaining stockholder approval: (a) amend the terms of outstanding Options to reduce the exercise price of such outstanding Options; (b) cancel outstanding Options in exchange for Options with an exercise price that is less than the exercise price of the original Options; or (c) cancel outstanding Options with an exercise price above the current stock price in exchange for cash or other securities.”

This Amendment shall be effective immediately, and except as set forth in this Amendment, all of the terms of the Plan shall remain unchanged and in effect.

We have made the following supplemental disclosures to The Joint Proxy Statement/Prospectus, dated July 31, 2015, in connection with the amendment, effective August 20, 2015, to CECO Environmental Corp.’s (“CECO”) Amended and Restated 2007 Equity Incentive Plan (the “Plan”) approved by its Board of Directors to eliminate CECO’s power to reprice or exchange grants under the Plan without stockholder approval. This supplemental information should be read in conjunction with the Joint Proxy Statement/Prospectus and the documents incorporated therein.

The following disclosure amends and restates the second sentence of the first paragraph immediately following the caption entitled “17.
