Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 10, 2015, Christopher C. Gahagan, 51, the Company’s Senior Vice President of Products and Technology and a named executive officer, resigned from his position. Louis Hernandez, Jr., Avid’s Chairman, President and CEO, will directly oversee the products team and execution of the Avid Everywhere strategy until the Company identifies new leadership.
