Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Based upon the recommendation of the Nominating and Corporate Governance Committee, effective April 21, 2015, EnerSys' Board of Directors appointed Paul Tufano as a Class I director of EnerSys' Board of Directors, with a term expiring at the 2017 annual meeting of stockholders.

Board committee assignments have not yet been determined for Mr. Tufano. Mr. Tufano does not have an interest requiring disclosure under Item 404(a) of Regulation S-K. Mr. Tufano will be compensated for services as a director on the same basis as other non-employee directors of EnerSys, including annual retainers, fees for attending board and committee meetings, eligibility to participate in the EnerSys Voluntary Deferred Compensation Plan for Non-Employee Directors and eligibility to receive other stock-based awards as may be approved from time to time by the Board of Directors of EnerSys.

A copy of the press release related to Mr. Tufano’s appointment is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

EnerSys Appoints New Member to Board of Directors
Reading, PA, USA, April 21, 2015 -- EnerSys (NYSE: ENS) the world's largest manufacturer, marketer, and distributor of industrial batteries, today announced the appointment of a new member to its Board of Directors. Paul J. Tufano accepted the appointment to join the Board on April 21, 2015.
Mr. Tufano served as Chief Financial Officer of the Alcatel-Lucent Group from 2008 through 2013. In September 2012, in addition to his Chief Financial Officer responsibilities, he was named Chief Operating Officer. Before joining Alcatel-Lucent, Mr. Tufano served as Executive Vice President and Chief Financial Officer of Solectron Corporation from January 2006 to October 2007 and as Interim Chief Executive Officer from February 2007 to October 2007. Prior to joining Solectron, Mr. Tufano was President and Chief Executive Officer at Maxtor Corporation from February 2003 to November 2004. Previously, he served as Executive Vice President and Chief Operating Officer from April 2001 and as Chief Financial Officer from July 1996 at Maxtor Corporation. From 1979 until he joined Maxtor Corporation in 1996, Mr. Tufano held management positions in finance and operations at IBM.
Mr. Tufano holds a Bachelor of Science in Economics from St. John’s University and a Masters of Business Administration, Finance, Accounting and International Business from Columbia University.
