Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2015, Sheryl A. Wolf, the Senior Vice President, Controller and Chief Accounting Officer of AdCare Health Systems, Inc. (the “Company”), resigned from the Company effective May 1, 2015. After Ms. Wolf's departure, Allan J. Rimland, the Company’s President and Chief Financial Officer, will serve as the Company’s principal accounting officer.
