(b) On December 9, 2014, Sir Donald Cruickshank, a member of the Board of Directors (the Board) of QUALCOMM Incorporated (the Company), informed the Company that, assuming he is re-elected to the Board at the Company’s 2015 Annual Meeting of Stockholders, he does not intend to stand for re-election to the Board in 2016. Accordingly, he would step down from the Board effective as of the Company’s 2016 Annual Meeting of Stockholders, which will mark Sir Don’s completion of approximately ten years of service on the Board.
