COSI ANNOUNCES EMPLOYEE EQUITY GRANTS                  

DEERFIELD, IL - July 25, 2014- Così, Inc. (NASDAQ: COSI), the fast-casual restaurant company, today announced that, as previously reported, Scott Carlock, the Company's newly appointed Chief Financial Officer, effective July 28, 2014, will be granted 100,000 shares of restricted stock on the date of his employment as a material inducement to accept the Company's offer of employment and as long-term incentive compensation.  These shares will be unregistered and subject to the terms of his Restricted Stock Agreement. 

Joyce Lee, the Company's newly appointed Vice President - Marketing, effective August 4, 2014, will be granted 40,000 shares of unregistered restricted stock on the date of her employment as a material inducement to accept the Company's offer of employment and as long-term incentive compensation.  Tania DiSciullo, the Company's newly appointed Controller, effective August 14, 2014, will be granted 5,000 shares of unregistered restricted stock on the date of her employment as a material inducement to accept the Company's offer of employment and as long-term incentive compensation. These shares will be unregistered and subject to the terms of a Restricted Stock Agreement.

Of these shares, 50% will vest over time in four equal installments on each of the next four anniversaries of their respective dates of employment, and the remaining 50% will vest in four equal installments based on the following specified price targets for Cosi's common stock:

  • 25% vests on the first day on which the closing price of Cosi's common stock shall have exceeded $2.00 for 30 consecutive trading days,
  • 25% vests on the first day on which the closing price of Cosi's common stock shall have exceeded $2.50 for 30 consecutive trading days,
  • 25% vests on the first day on which the closing price of Cosi's common stock shall have exceeded $3.00 for 30 consecutive trading days, and
  • 25% vests on the first day on which the closing price of Cosi's common stock shall have exceeded $4.00 for 30 consecutive trading days. 

All of the shares of restricted stock are subject to adjustment for stock splits, recapitalizations, reorganizations or any other similar events.  

The Company clarified that the shares granted to Mr. Carlock will not be issued under the Cosi, Inc. 2005 Omnibus Long-Term Incentive Plan.
