Communiqué from Boliden AB’s Annual General Meeting Held on 5th May 2015

Boliden’s (STO:BOL) (TSX:BLS) shareholders were given the
opportunity, in conjunction with Boliden’s Annual General Meeting,
to visit the new facilities at the expanded Garpenberg mine and
meet with its employees. This SEK 3.9 billion investment by Boliden
has created one of the most modern and most productive mines in the
world.
Dividend and record day
The Meeting approved a dividend payment to the shareholders of
SEK 2.25 per share and resolved that Thursday, 7 May 2015 shall be
the record date for the right to receive dividends. Subject to the
resolution by the Annual General Meeting in accordance with the
proposal, the dividend is scheduled for disbursement through
Euroclear Sweden AB on Tuesday, 12 May 2015.
Board of Directors
The Meeting approved the re-election of Board Members Marie
Berglund, Staffan Bohman, Tom Erixon, Lennart Evrell, Ulla Litzén,
Michael G:son L�w and Anders Ullberg, and the election of Elisabeth
Nilsson as a new Board Member. The Meeting also approved the
re-election of Anders Ullberg as the Chairman of the Board.
Fees
The Meeting resolved that Directors’ fees shall be payable in
the amount of SEK 1,300,000 to the Chairman of the Board and that
each of the other Directors elected by the Annual General Meeting
and not employed by the company shall receive a fee of SEK 480,000.
It is, furthermore, proposed that the fees payable to the Audit
Committee shall remain unchanged, with SEK 150,000 payable to the
Chairman of the Audit Committee and SEK 75,000 payable to each of
its members, and that unchanged fees of SEK 50,000 shall be payable
to each of the members of the Remuneration Committee.
Nomination Committee
The following persons were elected by the Meeting to form the
Nomination Committee: Jan Andersson (Swedbank Robur fonder), Ulrika
Danielsson (Andra AP-fonden), Lars-Erik Forsgårdh, Elisabet Jamal
Bergstr�m (Handelsbanken Fonder) and Anders Ullberg (Chairman of
the Board of Directors).
Auditor
The accounting firm of Deloitte AB was elected as Boliden’s new
Auditor for the period up to and including the next Annual General
Meeting.
