JACKSON, Mich., May 22 /PRNewswire-FirstCall/ -- The 11 incumbents on CMS Energy's Board of Directors were re-elected today by shareholders at the company's annual meeting.
The board members re-elected were Kenneth Whipple, chairman of CMS Energy and its principal subsidiary, Consumers Energy, and David Joos, president and chief executive officer of CMS Energy and chief executive officer of Consumers Energy, and the following independent directors: Merribel S. Ayres, Jon E. Barfield, Richard M. Gabrys, Philip R. Lochner Jr., Michael T. Monahan, Joseph F. Paquette Jr., Percy A. Pierre, Kenneth L. Way, and John B. Yasinsky. The incumbents also were re-elected to the Consumers Energy Board of Directors.
Shareholders also approved a proposal ratifying PricewaterhouseCoopers, L.L.P., as the company's independent registered public accounting firm for 2009.
In addition, shareholders approved an amended performance incentive stock plan, the performance measures used in the bonus plan, and an amendment to the CMS Energy articles of incorporation to provide for majority voting in uncontested director elections.
