Bank of America Corporation (the "Corporation") filed a Current
Report on Form 8-K with the U.S. Securities and Exchange Commission
("SEC") on August 15, 2016, announcing that the Corporation
completed the redemption of $114,871,000 aggregate principal amount
of its 6.35% Subordinated InterNotes due December 2037 (the
“Notes”). As a result of this redemption, the Corporation
redesignated the series of covered debt benefitting from the
replacement capital covenant, executed February 16, 2007 in
connection with the issuance by BAC Capital Trust XIV of its 5.63%
Fixed to Floating Rate Preferred Hybrid Income Term Securities (the
“Replacement Capital Covenant”). Effective as of August 15, 2016,
the Notes ceased being, and the Corporation’s 4.750% Subordinated
Notes due April 2045 (CUSIP No. 06051GFQ7) became, the covered debt
with respect to the Replacement Capital Covenant.
