POLL RESULTS OF THE ANNUAL GENERAL MEETING
HELD ON 21 NOVEMBER 2014
The board of directors (the "Board") of Asian Citrus Holdings
Limited (the "Company") announces that a poll was demanded by the
chairman of the annual general meeting of the Company held in Hong
Kong on 21 November 2014 at 10:30 a.m. (the "AGM") for voting on
all of the proposed resolutions (the "Proposed Resolutions") as set
out in the notice of the AGM dated 17 October 2014 (the "AGM
Notice") to the holders of the Company's ordinary shares (the
"Shares" and the "Shareholders", respectively) and the depository
interest holders of the Company.
As at the date of the AGM, there were 1,249,637,884 issued
Shares entitling the holders to attend and vote for or against all
the Proposed Resolutions at the AGM. There were no Shares entitling
the holders to attend and abstain from voting in favour of the
Proposed Resolutions at the AGM as set out in Rule 13.40 of the
Rules Governing the Listing of Securities on The Stock Exchange of
Hong Kong Limited (the "Listing Rules").
There were no Shares requiring the holder to abstain from voting
on the Proposed Resolutions at the AGM under the Listing Rules. No
Shareholders have stated in the Company's circular dated 17 October
2014 their intention to vote against or to abstain from voting on
any of the Proposed Resolutions at the AGM.
Computershare Hong Kong Investor Services Limited, the branch
share registrar of the Company in Hong Kong, was appointed as the
scrutineer for the vote-taking at the AGM.
The poll results in respect of all the Proposed Resolutions at
the AGM are set out as follows:

The full text of the proposed special resolutions
are set out in the AGM Notice.
As less than 75% of the votes were cast in favour
of each of the Proposed Resolutions 5 and 6, such
resolutions in relation to the grant of an unconditional
mandate to the directors to allot new ordinary
shares of the Company and to extend the issue
mandate granted to the directors did not carry.
The Proposed Resolution 7 was duly passed as special
resolution as more than 75% of the votes were
cast in favour of such resolution.
