Artilium acquires Livecom International to enhance its call

Artilium plc (LSE/AIM: ARTA), the AIM quoted provider of
innovative telecommunication software and solutions, is pleased to
announce the acquisition of the entire issued share capital of
Livecom International B.V as well as a 50 per cent. stake in the
Chinese JV of Livecom (together the "Acquisition"). The Acquisition
is expected to be immediately earnings enhancing, adding new
services to the call centre portfolio of Artilium's subsidiary,
Comsys.

interaction management, providing a single web application that
handles all customer contacts via chat, e-mail, voice as well as
the expert knowledge base. Livecom has over 10 years of experience
in developing, delivering and hosting customer interaction
management services. Livecom has a strong customer base in the
Netherlands and has already conducted an initial product
integration with the Comsys portfolio. In addition, Livecom is
expanding its offering to include new customer interaction channels
such as Whatsapp.

Details of the Acquisition
Artilium will pay a total consideration of EUR512,500 for
Livecom that will be satisfied by a cash payment of EUR450,000 and
the immediate issue of 880,460 new ordinary shares of 5 pence each
("Ordinary Shares") at a price of 5.38 pence per Ordinary Share
(the "Consideration Shares").
Livecom is based in the Netherlands and in the year to 31
December 2015 generated revenues of EUR866,669, EBITDA of
EUR213,755 and had net assets of EUR75,696 as at that date.
Application will be made for the Consideration Shares to be
admitted to trading on AIM and admission is expected to take place
on 15 February 2016. The Consideration Shares will rank pari passu
with the existing ordinary shares of the Company and are subject to
a 12 month lock in.
Following admission the total number of issued Ordinary Shares
in the Company will be 297,542,760 Ordinary Shares. This figure may
be used by shareholders of the Company as the denominator for the
calculations by which they will determine if they are required to
notify their interest in, or change to the interest in, the Company
under the FSA's Disclosure and Transparency Rules.
