Explanation of Responses:
(1)  This Statement on Form 4/A amends the previously reported Form 4, filed on September 5, 2017 to reflect a correction in the number of shares of the issuer's common stock withheld from the Reporting Person and delivered to the issuer for payment of withholding tax liability with respect to the Reporting Person, from 7,743 shares withheld and returned to the issuer to the corrected total of 7,918 shares withheld and returned to the issuer.
(2)  Shares withheld for payment of taxes in connection with the vesting and settlement of Restricted Stock Units.
(3)  Includes 27,284 Deferred Stock Units and 73,754 Restricted Stock Units.
