EXPLANATORY NOTE
This Current Report on Form 8-K/A (this “Form 8-K/A”) is being filed as an amendment to the Current Report on Form 8-K filed by Kopin Corporation (the “Company”) with the Securities and Exchange Commission on August 8, 2017, (the “Original Form 8-K”). This 8-K/A amends the Original Report solely to correct an error in the “Supplemental Information” included in Exhibit 99.1 of the Original Form 8-K regarding display revenues under the classifications of Military Applications and Industrial Applications. The presentation of the classifications of Military Applications and Industrial Applications have been corrected on Exhibit 99.1 to this Form 8-K/A. No other changes have been made to the Original Form 8-K.

Kopin Corporation issued a press release on August 8, 2017, a copy of which is attached as Exhibit 99.1 to this report and incorporated herein by this reference, in which the Company announced financial results for the second quarter ended July 1, 2017. This information in this Item 2.02 (including Exhibit 99.1) shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and shall not be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
