("Altitude", the "Company" or "Group")
Exercise of Options and PDMR Shareholdings
Altitude was notified on 17 November 2016 of the following
transactions in ordinary shares of 0.4 pence each in the Company
("Ordinary Shares") by directors of the Company.
On 17 November 2016 Richard Sowerby, Non-executive Director
exercised options over 250,000 Ordinary Shares at an exercise price
of 14.25p per share. Following the exercise, Mr Sowerby holds
650,000 shares, or 1.45% of the issued share capital.
Also on 17 November 2016, Martin Varley, Chief Executive
Officer, exercised options over 120,000 Ordinary Shares at an
exercise price of 14.25p per share. Prior to the exercise of
options, Mr Varley sold 120,000 Ordinary Shares at a price of 84.0p
each in order for his holding to remain below 30% of the issued
share capital. Mr Varley holds 13,047,559 Ordinary Shares, or
29.07% of the issued share capital.
The Company has also issued and allotted a further 550,000
Ordinary Shares of 0.4 pence each pursuant to the exercise of share
options by employees under its Enterprise Management Incentive
Share Option Scheme.
Application has been made for the 920,000 new Ordinary Shares to
be admitted to trading on AIM and it is expected that admission
will take place on or about 8.00 a.m. on 24 November 2016
("Admission"). Following these transactions there are current
options and warrants outstanding amounting to 3,400,000 shares.
Following the issue of the new Ordinary Shares, there are
44,878,465 Ordinary Shares in issue with each share carrying the
right to one vote. This is the total voting rights figure may be
used by shareholders as the denominator for the calculations by
which they will determine whether they are required to notify their
interests in, or a change to their interest in the Company under
the Financial Conduct Authority's Disclosure Guidance and
Transparency Rules.
