Item 8.01.            Other Events.

As previously announced, on September 2, 2016, Accuride Corporation, a Delaware corporation (the “ Company ”), entered into a Merger Agreement (the “ Merger Agreement ”) with Armor Parent Corp., a Delaware corporation (“ Parent ”), and Armor Merger Sub Corp., a Delaware corporation and wholly owned subsidiary of Parent (“ Merger Sub ”), providing for the merger of Merger Sub with and into the Company (the “ Merger ”), with the Company surviving the Merger as a wholly owned subsidiary of Parent. The consummation of the Merger is conditioned upon, among other things, the expiration or termination of any waiting periods applicable to the consummation of the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “ HSR Act ”).

On September 27, 2016, the U.S. Federal Trade Commission notified the Company that early termination of the waiting period under the HSR Act was granted, effective immediately.

The consummation of the Merger remains subject to adoption of the Merger Agreement by the Company’s stockholders and the satisfaction or waiver of the other closing conditions set forth in the Merger Agreement.

Important Additional Information:

A special meeting of the stockholders of the Company will be announced as promptly as practicable to seek stockholder approval in connection with the Merger.  The Company expects to file with the SEC a proxy statement and other relevant documents in connection with the Merger. The definitive proxy statement will be sent or given to the stockholders of the Company and will contain important information about the proposed transaction and related matters.
