UPDATE TO SHAREHOLDER CIRCULAR 5 SEPTEMBER 2014

AcenciA Debt Strategies Limited (the "Company") announces that, as previously anticipated in its circular to shareholders of 5 September 2014, it has today concluded a transaction (the "Transaction") with certain funds managed by its investment adviser, Sandalwood Securities Inc ("SSI"), to sell its entire interests in certain underlying assets, namely Sandalwood Debt Fund A SPV. The total value of the consideration is $2,361,884.76 million (approximately GBP1.5m). These investments were sold at 100% of their net asset value as at 31 December 2014 as ascribed to them by their underlying managers. The Transaction is a related party transaction under Listing Rule 11.1.7 R by reason of the common role of SSI as investment adviser to both the Company and the Purchasing Funds, but qualifies as a "smaller related party transaction" under Listing Rule 11.1.10 R and so does not require shareholder approval.
