The NAFH Transaction
On June 29, 2010, the Company entered into an Investment Agreement (the “Investment Agreement”) with TIB Bank, a subsidiary of
the Company (“TIB Bank”), and North American Financial Holdings, Inc. (“NAFH”), pursuant to which the Company sold to NAFH (i)
700,000,000 shares of the Company’s common stock (the “Common Stock”) at $0.15 per share, (ii) 70,000 shares of mandatorily convertible
participating voting preferred stock (the “Preferred Stock”) for $1,000 per share and (iii) a warrant representing the right to purchase, during the
18-month period following the closing of the Share Purchase (as defined herein), up to 1,166,666,667 shares of Common Stock at $0.15 per
share (or up to 175,000 shares of Preferred Stock for $1,000.00 per share) (the “Warrant”). Following receipt of shareholder approval of the
Authorized Share Increase, the Preferred Stock issued at the closing will mandatorily convert into a number of shares of Common Stock equal to
the $70,000,000 purchase price divided by $0.15 per share, or 466,666,666 shares of Common Stock, subject to antidilution adjustments. The

I didn't realize TIB had it's own board here. I closed the last of my accounts there quite a few months ago.

I'm long here and look to add to my position.

Now that the deal is done with NAFH I see this as an excellent buy. There will be a reverse stock split in the near future to make the share price a bit more attractive to investors. I have been adding to my position and will continue to later this year.

I see a lot of potential growth here over the next few years. I'm like you, I don't see where one can go wrong here.

TIBB, & all the other banks that NAFH will purchase or takeover will become one. NAFH plan is assemble a $20 billion “regional superbank". As far as the Headquarters, my guess would be North Carolina. They will quickly become a Major player in the Southeast Banking Industry. As far as the name I don't know yet but I don't think that they will call it NAFH National Bank..

NAFH is at it again, buying 2 more banks. With the recession winding down and the new financial reform bill & rules in place, when the dust settles, NAFH will be a big player in Florida Banking. They are quickly buying up community banks in nice areas. They will either keep some management or replace them but they will run it their way. Wonder what the new name will be...

I agree with your assessment. Florida is one of the worst, if not the worst hit states for bad real estate loans so it could be a while. Theere is no doubt they will continue to have to absorb elevated provisions, but when that starts to subside, there will be profitability.

I dont think TIBB will be profitable until the housing market in FL stabilizes. I dont think we will see that in 2010. Hopefully early 2011. but I do think this bank will come roaring back and that is why I am still a shareholder.

IMO, they have dealt with the "memorandum of understanding" and will begin to be a profitable bank in late 2010.

Also, the deposits attained through the bank of venice might offer a way to recapilate by earning risk-free yield spreads on agencies and treasuries with an extended low rate environment provided by our Fed!

As long as they can keep their provisions under control with adequate capital and liquidity ratios, there should be stability and an improving balance sheet.

Definitely a "different" trading pattern here. Only like 4k shares all day in a tight range and then 11k shares or so at EOD. I am awaiting the Sept 23rd shareholders meeting to try to see what plans the company has and see where the stockprice is going. So far 1.34 seems to be holding nicely but some more volume would be good.

TIBB trading nicely today almost 40k in volume and the shares someone sold earlier in the 1.40's have been picked up and now it is trading 1.53 x 1.55 with some good bid support. Hopefully this accumulation trend slowly upward will continue into the shareholders meeting on Sept 23rd and people will hold atleast till Sept 31st for to qualify for the dividend. Will keep y'all up to date on developements as I watching this one closely.

3rd day up with someone picking up some 1.61's this am. Hopefully this will continue a slow and steady uptrend into the Shareholders meeting on Sept 23rd and we hear something good from that. Should be a good run near end of month with the dividend being paid to shareholders of record on Sept 31st

1.55 x 2.00 Pre-market. Hopefully 1.50 is becoming the new base here. It seems to be trending up nicely. Be interesting to see the news from the shareholders meeting on Sept 23rd.

DIVIDEND FOR SHAREHOLDERS OF RECORD ON SEPT 31ST TO BE PAID ON OCT 10TH.

Per information released by TIB bank/TIBB shareholders of record on Sept 31st will be paid a 1% dividend on Oct 10th. There is also a shareholders meeting for shareholders on record on August 21st. Unfortunately I did not get my shares in time or I would make the drive over to the Miami area for it. Will post any info I can collect from it as soon as it breaks.

Welcome to the TIBB board. TIB Bank ticker is TIBB bank. TIB bank has recently bought Riverside Bank's 10 locations from the FDIC for pennies on the dollar. It has also bought a Venice Florida bank with 3 locations. If you check out it's chart it hit it's 52 week low on August 25th at 1.35$ and is now starting to trend up nicely. I tried to start buying it on last friday at 1.39$ and only got 7 shares LOL. I since have bought ALOT with an average of 1.56$ and plan on trading some and holding some very long term. Will post more info soon. If you look at the chart over the last year it was trading at 7.50$ a share and hopefully August 25th marked the bottom for this one. GL Dave
