Item 8.01.                                        Other Events.

 

On February 4, 2016, the European Commission approved under the EU Merger Regulation Western Digital Corporation’s (“Western Digital”) pending acquisition of SanDisk Corporation (“SanDisk”).  Approval by the European Commission satisfies one of the conditions to the closing of the pending acquisition, which remains subject to other customary closing conditions, including receipt of shareholder approvals and other regulatory approvals.
