On March 4, 2016, Stein Mart, Inc. (the “Company”), filed a Current Report on Form 8-K (the “Initial Form 8-K”) disclosing that the
Board of Directors of the Company had elected Lisa Galanti as a director of the Company, effective March 3, 2016, to fill the vacancy created by the retirement of J. Wayne Weaver. Committee assignment(s) for Ms. Galanti had not been
determined as of the filing of the Initial Form 8-K.
On April 19, 2016, effective immediately, the Board of Directors formed the ad hoc Marketing
Committee and appointed Ms. Galanti and Mr. Jay Stein to serve on such committee.
