OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On April 4, 2016, the registrant received letters from Susan Falk and Linda M. Farthing
indicating that they plan to retire from the Company’s Board of Directors effective as of the annual shareholders meeting to be held on June 21, 2016. Therefore, Ms. Falk and Ms. Farthing are not standing for reelection to
the Company’s Board of Directors. Ms. Falk has been a board member since 2007 and Ms. Farthing, since 1999.
