On December 1, 2016, Mr. Steven T. Mnuchin, a director of Sears Holdings Corporation (the “Company”), informed the Company that he
will be resigning as a director, effective December 2, 2016, as a result of his anticipated nomination to become the Secretary of the United States Department of the Treasury.
The Company issued a press release, attached hereto as Exhibit 99.1, regarding Mr. Mnuchin’s resignation.
