Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 21, 2015, David S. Schechter, a member of the Board of Directors of Mentor Graphics Corporation (the “Company”), notified the Company of his decision to resign from the Board of Directors and the Board’s Audit Committee, effective March 4, 2015. Mr. Schechter’s decision was not the result of any disagreement with the Company relating to its operations, policies or practices.

The Board thanks Mr. Schechter for his diligent service and many contributions to the Board and the Company.
