To approve an Amendment and Restatement of the Medivation, Inc. Amended and Restated 2004 Equity Incentive Award Plan to increase the number of shares of Medivation’s common stock reserved for issuance under the plan by 2,700,000 shares and make certain other changes as described in the proxy statement of Medivation.

To approve an amendment to Medivation’s Restated Certificate of Incorporation to increase the number of authorized shares of Medivation’s common stock from 170,000,000 shares to 340,000,000 shares.
