Item 5.07              Submission of Matters to a Vote of Security Holders

The Annual Meeting of Shareholders (the “Annual Meeting”) of Innovative Solutions and Support, Inc. (the “Company”) was held on April 16, 2015.  At the Annual Meeting, the Company’s shareholders approved two proposals.  The proposals below are described in the Company’s definitive proxy statement, dated January 26, 2014, for its Annual Meeting. The results are as follows:

Proposal 1: The Election of Two Class III Directors to the Board of Directors

Proposal 2:  Ratification of the Appointment of Grant Thornton LLP as the Company’s Independent Registered Public Accounting Firm for the Fiscal Year Ending September 30, 2015
