Item 7.01 Regulation FD Disclosure.

As previously disclosed, on June 5, 2016, Hercules Offshore, Inc. (the “Company”) and certain of its U.S. subsidiaries (together with the Company, the “Debtors”), filed voluntary petitions for relief (the “Chapter 11 Case”) under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware (the “Court”). The Chapter 11 Case is being administered under the caption In re: Hercules Offshore, Inc. (Case No. 16-11385).

On July 20, 2016, the Debtors filed a monthly operating report for the period beginning June 5, 2016 and ending June 30, 2016 (the “Monthly Operating Report”) with the Court. The Monthly Operating Report is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The information in this Item 7.01 and the exhibit hereto is being furnished, not filed. Accordingly, such information will not be incorporated by reference into any registration statement filed by the Company under the Securities Act of 1933, as amended. By filing this Form 8-K and furnishing this information, the Company makes no statement or admission as to the materiality of any information in Item 7.01 or the exhibit hereto.
