Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 7, 2015, Rocket Fuel Inc. (the "Company") took steps to conclude Richard Frankel’s role as President of the Company, which will be effective October 16, 2015.  Richard Frankel will remain an employee of the Company in the role of Executive Vice President, where he will focus on strategic projects, corporate development, and ongoing engagements with large clients.
