Item 2.02.    RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 14, 2017, FLIR Systems, Inc. (the “Company”) issued a news release announcing (i) its financial results for the quarter and year ended December 31, 2016, (ii) outlook for revenue and earnings per share for the year ending December 31, 2017, (iii) the declaration of a quarterly dividend, and (iv) the authorization by the Company’s Board of Directors to repurchase up to 15 million shares through February 8, 2019.

The news release issued February 14, 2017 is furnished herewith as Exhibit 99.1 to this Report, and shall not be deemed to be filed for purposes of Section 18 of the Exchange Act.

On February 14, 2017 the Company announced that Andrew C. Teich, its President, Chief Executive Officer and a member of its Board of Directors, plans to retire as soon as his successor is appointed.
