Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 24, 2017, John E. Benjamin notified Financial Institutions, Inc. (the "Company") that he will not stand for re-election to the Board of Directors of the Company when his current term expires at the upcoming 2017 Annual Meeting of Shareholders. Mr. Benjamin has served as a director since 2002. His decision not to stand for re-election was not due to any disagreement with the Company.





Item 8.01 Other Events.

On March 29, 2017, the Company issued a press release announcing that its Annual Meeting of Shareholders will be held on Wednesday, June 21, 2017 at 10:00am at the Company's Corporate Headquarters at 220 Liberty Street in Warsaw, New York. The record date for the Annual Meeting is Monday, April 24, 2017.
